1. Acceptance and eligibility
By creating an account, purchasing a membership, or using the Service, you agree to these Terms and acknowledge Anchor’s Privacy Notice. If you act for an organization, you represent that you have authority to bind it.
You must be at least 18 and legally able to enter into these Terms. You may not use the Service in violation of law or after Anchor has suspended or terminated your access.
Additional terms may apply to a feature or transaction. Definitive offering and subscription documents govern an investment and control over these Terms for that investment.
2. Club membership and Service
Anchor operates a paid real estate investor club. Membership may provide access to a peer community, curated sponsor and opportunity materials, and optional investing tools, documents, communications, and administrative workflows described at checkout.
These functions support discovery and evaluation. They do not themselves promise personalized advice, negotiation, allocation, offering-eligibility verification, transaction execution, or handling of investment funds. Any additional service must be expressly described and legally permitted.
Anchor may change features as the Service develops. Sample or test information will be identified in context. Display of a sponsor, model, document, or opportunity does not mean it is available for investment.
3. Application and membership
Investor membership requires an application and Anchor approval. Information submitted in an application must be accurate, current, and complete. Anchor may request supporting information and may approve, decline, defer, suspend, or revoke membership subject to these Terms and applicable law.
An approved applicant may receive a link to create or complete an account and proceed to checkout. Approval must occur before the applicant pays for membership. Membership approval is not verification of accredited-investor status, approval for an offering, or an investment recommendation.
A paid membership purchases the club services described at checkout for the membership term, whether or not the member invests. Any investment is optional and separate. Membership does not guarantee access to an opportunity, an allocation, acceptance of a particular amount, or any investment outcome.
Sponsors are reviewed through a separate process and do not need to purchase investor membership solely to use sponsor functions.
4. Curation, sponsors, and opportunities
Anchor reviews sponsors and opportunities to the extent described in its published curation process. Approval means only that Anchor completed the stated review based on information then available. Anchor is responsible for performing the review it undertakes and for accurately describing its scope.
Approval does not guarantee legality, availability, performance, or outcome and is not a personalized recommendation. Sponsors and issuers remain responsible for their statements, offering materials, compliance, investor qualification, allocations, closings, and ongoing obligations. Members should review definitive offering documents and obtain advice they consider appropriate.
Anchor will disclose material compensation and conflicts associated with its membership, sponsor, referral, or opportunity relationships as required by applicable law and in the context needed for an informed decision.
5. Investments and offering documents
Membership fees pay for club services. They are not investment subscriptions, capital contributions, deposits, escrow, or other funds paid for a security.
These Terms are not an investment or subscription contract. Communications through the Service concerning an opportunity may constitute an offer or solicitation depending on their substance and applicable law. Any offer or sale must comply with applicable law, and any investment is governed by definitive offering and subscription documents.
Completing an investment may require separate qualification, documents, signatures, payment instructions, and third-party services. The issuer, sponsor, and applicable providers may have separate terms and privacy practices.
Information in the Service, including sponsor materials, community discussions, models, calculators, reports, and estimates, is not legal, tax, accounting, or personalized investment advice. It is not a substitute for professional advice or independent diligence.
6. Lower minimum preferences
Where enabled, a member may state a nonbinding preference to invest less than an opportunity’s published minimum. The amount must be a whole U.S. dollar amount from $5,000 through one dollar less than the published minimum.
The preference does not amend offering terms, reserve an allocation, place an order, create a subscription, commit any party, or pool funds. Only the issuer or sponsor may accept a different minimum, subject to definitive offering documents and required approvals.
7. Accounts and security
You must provide accurate account information and keep it current. You are responsible for safeguarding credentials and for account activity, except to the extent applicable law provides otherwise. Do not share credentials or permit unauthorized access. Notify Anchor at [SUPPORT EMAIL] if you suspect unauthorized use.
Anchor may require identity, authority, eligibility, or security checks. You may not misrepresent your identity, affiliation, accreditation status, or authority.
8. Fees, billing, cancellation, and taxes
Before charging you, Anchor will show the total price due, billing cadence, included club services, whether the membership renews automatically, and any taxes or additional charges Anchor collects. The checkout record establishes the price and cadence you accepted.
If a membership renews automatically, checkout will state the renewal period and recurring charge. Anchor will provide any renewal or price-change notice required by law. You may cancel from the billing page in your account or by emailing [SUPPORT EMAIL]. Cancellation takes effect at the end of the membership year you have paid for, and Anchor will provide confirmation. Anchor will not charge a renewal after cancellation becomes effective.
Refunds and prorated credits are governed by Anchor’s Refund and cancellation policy, subject to rights that cannot be limited by law. Closing an account will cancel an active membership or require your express choice to keep it active after clear disclosure of continuing access and charges.
Fees cover the club services described at checkout and do not include investment amounts or third-party transaction fees. You are responsible for applicable taxes other than taxes imposed on Anchor’s net income.
9. Acceptable use
You may not:
- submit false, misleading, infringing, unlawful, or unauthorized content;
- impersonate another person or misstate an affiliation, eligibility status, sponsor relationship, or investment intent;
- use the Service for an unlawful offer, solicitation, transaction, or communication;
- scrape, harvest, resell, or systematically extract Service content or personal information without written permission;
- bypass, disrupt, probe, or compromise access controls or security;
- introduce malicious code or use automated means that materially burden the Service;
- disclose another person’s confidential, identity, financial, accreditation, or investment information without authority;
- use community or messaging features for harassment, fraud, spam, manipulation, or undisclosed paid promotion; or
- reverse engineer the Service except where law expressly permits it.
10. User content, confidentiality, and community
User Content means information or materials you submit through the Service. As between you and Anchor, you retain ownership of your User Content.
You grant Anchor a nonexclusive, worldwide, royalty-free license to host, reproduce, transmit, display, and otherwise process User Content only as reasonably necessary to provide, secure, support, and legally operate the Service. The license lasts only as long as needed for those purposes, subject to backups, legal holds, and applicable retention duties. It does not authorize public marketing or model-training use of private accreditation or investor documents.
You represent that you have the rights and permissions needed to provide User Content. Offering documents, diligence materials, investor information, and sponsor communications may be confidential or separately restricted. You must honor those restrictions and may not redistribute materials outside permitted recipients.
Anchor will use reasonable care to protect materials marked confidential or reasonably understood to be confidential. The Service will identify the intended audience for a profile, community, or messaging feature. Content is not public by default.
11. Anchor materials, models, and feedback
The Service, including its software, design, branding, compilation, and Anchor-created content, is owned by Anchor or its licensors and protected by law. Anchor grants you a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purpose during authorized access.
Models and calculators rely on stated assumptions and may omit fees, taxes, losses, delays, defaults, liquidity effects, or other factors. Outputs are estimates, may be incomplete or incorrect, and are not actual or guaranteed performance. Verify material inputs and conclusions before acting.
If you voluntarily provide feedback, Anchor may use it without compensation, but feedback does not grant Anchor rights to private documents, personal information, or confidential offering materials embedded in it.
12. Third-party services
The Service may display third-party content or link to third-party services. Those parties control their own content, systems, privacy practices, and conduct. Anchor remains responsible for its selection and configuration of providers, its handling of personal information, the review and services it expressly undertakes, and duties that law does not permit it to disclaim.
13. Communications
Anchor may send transactional messages about applications, accounts, billing, security, sponsor communications, saved items, reports, and Service changes. Marketing choices do not prevent service or legal notices where permitted by law.
Legal notices to Anchor must be sent to [SUPPORT EMAIL] and to [LEGAL BUSINESS NAME], [BUSINESS ADDRESS]. Anchor may send notices to the contact information associated with your account.
14. Privacy and security
Anchor’s Privacy Notice explains how Anchor handles personal information. You must have authority before submitting another person’s information.
Anchor uses reasonable and appropriate administrative, technical, and organizational measures designed to protect personal information. No system is completely secure, and Anchor cannot guarantee that unauthorized access, loss, or misuse will never occur.
15. Suspension, termination, and account closure
You may stop using the Service and close your account from your account settings or by emailing [SUPPORT EMAIL]. Account closure does not require deletion of records Anchor must or may lawfully retain.
Anchor may suspend or terminate access if it reasonably believes you violated these Terms, created security or legal risk, failed to pay an amount due, or are no longer eligible, or if Anchor discontinues the Service. Where practicable and lawful, Anchor will provide notice and an opportunity to cure. Anchor may act immediately to address fraud, security risk, unlawful conduct, or harm.
Provisions intended by their nature to continue after termination will survive, including ownership, confidentiality restrictions, disclaimers, and obligations concerning accrued fees.
16. Disclaimers and investment risk
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Anchor disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Anchor does not warrant that the Service, third-party content, opportunities, calculations, communications, or results will be accurate, complete, current, continuously available, secure, or suitable for a particular purpose.
Private investments may be speculative, illiquid, and capable of total loss. Past or modeled performance does not guarantee future results. Nothing in these Terms disclaims duties or liabilities that cannot lawfully be disclaimed, including nonwaivable securities, privacy, consumer-protection, antifraud, or other statutory rights.
17. Changes to these Terms
Anchor may update these Terms. If a change materially affects your rights or obligations, Anchor will provide notice as required by law and state when the revision takes effect. Continued use after that date constitutes acceptance only where legally effective. If you do not accept a material change, you may stop using the Service and exercise applicable cancellation rights.
18. General terms
Neither party may assign these Terms without the other’s consent, except that Anchor may assign them in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets if the successor assumes Anchor’s obligations. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Failure to enforce a provision is not a waiver. These Terms, the Privacy Notice, checkout record, and applicable additional terms form the agreement concerning the Service, subject to the priority of definitive offering documents for an investment.
Except for duties imposed by law or expressly undertaken by Anchor, these Terms do not create an agency, partnership, joint venture, fiduciary, employment, or franchise relationship.
